Welcome to UNIVU. These Terms of Service (“Terms”) govern your access to and use of the UNIVU platform, website, and all related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
These Terms should be read in conjunction with our Privacy Policy and Usage Agreement, which together form the complete legal framework governing your relationship with UNIVU.
1. Overview of the Service
UNIVU is a brand operating system — a multi-tenant software platform that combines visual branding, website building, content management, media management, analytics, and marketing tools into a single unified environment. The Service enables you to create and manage one or more Brands, each with its own visual identity, website, content, media library, and team.
The Service operates on a “free to build, pay to publish” model. You may create Brands, configure visual identities, build pages, and organize content at no cost. An active subscription is required to publish Sites to live domains and access production features.
2. Acceptance of Terms
2.1 Binding Agreement
By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, company, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.
2.2 Minimum Age
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.
2.3 Changes to Terms
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting a notice within the Service, sending an email to the address associated with your account, or by other reasonable means at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
3. Accounts & Registration
3.1 Account Creation
To use most features of the Service, you must register for an account. You agree to provide truthful, accurate, and complete registration information and to keep that information up to date. You may not create an account using a false identity or information, or on behalf of someone other than yourself without their permission.
3.2 Account Security
You are responsible for safeguarding the credentials used to access your account and for all activities that occur under your account. You must immediately notify UNIVU of any unauthorized use of your account or any other security breach. UNIVU will not be liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 Account Termination
You may delete your account at any time through the account settings within the Service. We may also suspend or terminate your account if we reasonably believe you have violated these Terms, as further described in Section 12.
4. Subscriptions & Payments
4.1 Pricing Model
UNIVU operates on a feature-parity pricing model: all subscription plans include every feature. Plans differ only in usage limits (number of Brands, storage, team seats, etc.). Current pricing is available on our website and is subject to change with 30 days’ prior notice.
4.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Payment is processed through our third-party payment processor, Stripe. By subscribing, you authorize Stripe to charge your provided payment method for all applicable fees.
4.3 Free Tier
The Service offers a free tier that allows you to build Brands, design Brand Profiles, create pages, and manage content without charge. Publishing a Site to a live domain requires an active paid subscription. We reserve the right to modify the scope of the free tier at any time with reasonable notice.
4.4 Cancellation & Refunds
You may cancel your subscription at any time. Upon cancellation, your subscription remains active through the end of the current billing period. Published Sites will be unpublished at the end of that period. Fees are generally non-refundable, except as required by applicable law or at our sole discretion for documented service issues.
4.5 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on UNIVU’s net income.
5. Intellectual Property Rights
5.1 UNIVU’s Intellectual Property
The Service and its entire contents, features, and functionality — including but not limited to software, code, design, visual styles, preset templates, component libraries, text, graphics, logos, icons, and documentation — are owned by UNIVU, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Limited License
Subject to your compliance with these Terms, UNIVU grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes. This license does not include the right to:
- Modify, reproduce, distribute, or create derivative works of the Service or its underlying software.
- Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Service.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Use the Service for any purpose other than as expressly permitted by these Terms.
5.3 Your Content
You retain all ownership rights in the content you create, upload, or publish through the Service (“Your Content”). By using the Service, you grant UNIVU a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as image optimization), display, and distribute Your Content solely to the extent necessary to operate and provide the Service. This license terminates when you delete Your Content or your account.
5.4 Trademarks
The UNIVU name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UNIVU. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
6. User Responsibilities
6.1 Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
6.2 Content Standards
You are solely responsible for all content you create, upload, or publish through the Service. Your content must not:
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party.
- Be fraudulent, false, misleading, or deceptive.
- Be defamatory, obscene, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Promote illegal activities or advocate, promote, or assist any unlawful act.
- Involve commercial activities not authorized by UNIVU, including contests, sweepstakes, barter, advertising, or pyramid schemes.
- Contain any material that could damage, disable, overburden, or impair the Service.
6.3 Security
You agree not to:
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Use any robot, spider, scraper, or other automated means to access the Service without our express written permission.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
- Interfere with the proper working of the Service or impose an unreasonable load on UNIVU’s infrastructure.
7. Websites & Published Sites
7.1 Site Publishing
The Service allows you to build and publish websites (“Sites”) under UNIVU subdomains (e.g., yourbrand.univu.cloud) or your own custom domains. You are solely responsible for the content published on your Sites and for ensuring that your Sites comply with all applicable laws.
7.2 Custom Domains
You may connect custom domains to your Sites. You are responsible for acquiring, maintaining, and renewing your domain registrations through your chosen domain registrar. UNIVU provides SSL certificates for all published Sites at no additional charge.
7.3 Visitor Data
When you publish a Site, visitors to that Site may interact with forms, analytics tracking, and other features. You are the data controller for any personal data collected from your Site visitors and must provide appropriate privacy notices and obtain necessary consents as required by applicable data protection laws.
7.4 Uptime
While we strive to maintain high availability, we do not guarantee 100% uptime for published Sites. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
8. Third-Party Services
8.1 Integrations
The Service relies on and integrates with various third-party services to provide its functionality. These include, but are not limited to:
- Stripe — Payment processing and subscription management.
- Neon — Database hosting and management.
- Fly.io — Application hosting and deployment.
- Tigris — Object storage and CDN for media assets.
- Cloudflare — DNS, CDN, and security services.
- Resend — Transactional and marketing email delivery.
- Tinybird — Real-time analytics data processing.
- PostHog — Product analytics and feature management.
- Twilio — Communication services (SMS, messaging).
- Upstash — Serverless caching and rate limiting.
8.2 Third-Party Terms
Your use of the Service may be subject to the terms and policies of these third-party providers. UNIVU is not responsible for the practices of third-party services and recommends that you review their respective terms and privacy policies.
8.3 No Endorsement
The inclusion of third-party integrations does not constitute an endorsement of those services. We may add, modify, or remove third-party integrations at any time.
9. Data & Privacy
9.1 Privacy Policy
Your privacy is important to us. Our Privacy Policy describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.
9.2 Data Ownership
You retain ownership of all data you input into the Service. We do not sell your data to third parties. We may use aggregated, anonymized data to improve the Service, conduct research, and generate industry benchmarks.
9.3 Data Export
You may export your data at any time through the Service’s export features. Upon account deletion, a 90-day data retention window is provided for you to retrieve your data before permanent deletion.
9.4 Security
We implement industry-standard security measures to protect your data, including encryption in transit (TLS/SSL), encryption at rest, and access controls. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
10. Email & Communications
10.1 Service Communications
By creating an account, you agree to receive service-related communications from UNIVU, including account verification, billing notifications, security alerts, and important updates about the Service. These communications are necessary for the operation of the Service and cannot be opted out of while your account is active.
10.2 Marketing Communications
We may send you marketing communications about new features, updates, and promotional offers. You may opt out of marketing communications at any time by using the unsubscribe link in the email or through your account notification settings.
10.3 Email Marketing Features
If you use the Service’s email marketing features to send emails to your contacts, you represent and warrant that you have obtained proper consent from all recipients and that your email practices comply with applicable anti-spam laws, including CAN-SPAM, CASL, and GDPR.
11. Copyright & DMCA
11.1 Respect for Intellectual Property
UNIVU respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law.
11.2 DMCA Procedure
If you believe that content on the Service infringes your copyright, please send a notice to our designated copyright agent at info@univu.cloud including:
- A description of the copyrighted work claimed to have been infringed.
- A description of where the infringing material is located on the Service.
- Your contact information (address, phone number, email).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
- Your physical or electronic signature.
11.3 Repeat Infringers
We reserve the right to terminate accounts of users who are determined to be repeat infringers. We may also, in our sole discretion, limit access to the Service or terminate the accounts of any users who infringe any intellectual property rights.
12. Termination
12.1 By You
You may stop using the Service and delete your account at any time. If you have an active subscription, cancellation takes effect at the end of your current billing period.
12.2 By UNIVU
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ceases immediately.
12.3 Effect of Termination
Upon termination of your account:
- Your access to the Service and all associated data will be discontinued.
- Published Sites will be taken offline.
- You will have 90 days to export your data before permanent deletion.
- Any outstanding fees remain payable.
- Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
13. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. UNIVU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
UNIVU DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNIVU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE;
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE;
- ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
- ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE.
IN NO EVENT SHALL UNIVU’S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID UNIVU IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.
15. Indemnification
You agree to defend, indemnify, and hold harmless UNIVU, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) Your Content; (c) your use of the Service; or (d) your violation of the rights of a third party.
16. Dispute Resolution
16.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@univu.cloud. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within 30 days, either party may proceed as described below.
16.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.
16.3 Arbitration
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally settled by binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in Wilmington, Delaware, or remotely by mutual agreement. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.4 Class Action Waiver
YOU AND UNIVU AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16.5 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and Usage Agreement, constitute the entire agreement between you and UNIVU regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
17.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without UNIVU’s prior written consent. UNIVU may freely assign these Terms without restriction. Any attempted assignment in violation of this section is void.
17.5 Force Majeure
UNIVU shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure outages, labor disputes, pandemics, or acts of terrorism.

Any notices or communications from UNIVU to you may be provided via email to the address associated with your account, through the Service, or by posting on the UNIVU website. Notices from you to UNIVU should be sent to info@univu.cloud.
